any, on which the property, money or securities is given, bequeathed or otherwise acquired; hold, expend, invest, administer or dispose of any such property, money or securities; or create any security interest in such property, money or securities to secure any obligation of the Association;</Text></Paragraph><Paragraph Code="se=&quot;7&quot;,p1=&quot;h&quot;"><Label>(<Emphasis style="italic">c</Emphasis>)</Label><Text>the employment, engagement or appointment and remuneration, expenses and duties of officers, employees and agents of the meetings of the Board and committees of the Association, including the manner of voting at such meetings;</Text></Paragraph><Paragraph Code="se=&quot;9&quot;,ss=&quot;1&quot;,p1=&quot;e&quot;"><Label>(<Emphasis style="italic">e</Emphasis>)</Label><Text>the appointment of patrons and honorary officers of the Association; the business and affairs of the Association and the delegation of its powers to the Board or committee of the Board or Association.</Text></Paragraph></Subsection><Subsection Association is valid or shall be acted on until it is approved at a general meeting of the members by at least two-thirds of those present and entitled to vote at the constitution, by-laws, rules and regulations of the unincorporated association known as the Canadian Association of Former Parliamentarians, insofar as they are not contrary to law or the provisions of this Act, shall be the constitution and by-laws of the Association until altered or repealed in accordance with this Act.</Text></Section><Heading Code="ga=&quot;s_11&quot;,h1=&quot;&quot;" level="1"><TitleText Code="ga=&quot;s_11&quot;,h1=&quot;&quot;,t1=&quot;&quot;">ORGANIZATION</TitleText></Heading><Section Code="se=&quot;11&quot;"><MarginalNote Code="se=&quot;11&quot;,m1=&quot;&quot;">Head office</MarginalNote><Label>11.</Label><Text>The head office of the Association shall be at such place in Canada as the Board may determine.</Text></Section><Section Code="se=&quot;12&quot;"><MarginalNote Code="se=&quot;12&quot;,m1=&quot;&quot;">Board of Directors</MarginalNote><Label>12.</Label><Text>The affairs of the Association shall be managed by a Board of Directors comprised of a Chairperson and directors elected or appointed in accordance with the by-laws of the Association.</Text></Section><Section Code="se=&quot;13&quot;"><MarginalNote Code="se=&quot;13&quot;,m1=&quot;&quot;">Speakers of both Houses</MarginalNote><Label>13.</Label><Text>The Speaker of the Senate and the Speaker of the House of Commons shall be honorary members and co-chairpersons of the Association.</Text></Section><Section Code="se=&quot;14&quot;"><MarginalNote Code="se=&quot;14&quot;,m1=&quot;&quot;">Role of Chairperson</MarginalNote><Label>14.</Label><Text>The Chairperson of the Board shall be appointed or elected as the by-laws of the Association may provide and shall preside at meetings of the Board and may perform such other duties as may be assigned by the Board.</Text></Section><Section Code="se=&quot;15&quot;"><MarginalNote
