Whereas the Governor in Council, pursuant to subsection 91(6) of the Financial Administration Act, is satisfied that Nordion International Inc., as a corporation incorporated under the Canada Business Corporations Act, is empowered to undertake the transaction described in the annexed Order;Therefore, His Excellency the Governor General in Council, on the recommendation of the Minister of State (Privatization and Regulatory Affairs) and the Treasury Board, pursuant to paragraph 91(1)(a) of the Financial Administration Act, is pleased hereby to make the annexed Order authorizing Nordion International Inc. to incorporate five corporations under the laws of the Netherlands, France, the United Kingdom, Italy and the Federal Republic of Germany.SHORT TITLE

1.This Order may be cited as the Nordion International Incorporation Authorization Order (Incorporation of Corporations).

AUTHORIZED TRANSACTION

2.Nordion International Inc. is hereby authorized, for the purpose of sales and distribution of its products in the countries referred to in paragraphs (a) to (e), to incorporate the following corporations, all of the shares of which, on incorporation, will be held by, on behalf of or in trust for Nordion International Inc.:(a)a corporation incorporated under the laws of the Netherlands;(b)a corporation incorporated under the laws of France;(c)a corporation incorporated under the laws of the United Kingdom;(d)a corporation incorporated under the laws of Italy; and(e)a corporation incorporated under the laws of the Federal Republic of Germany.
