link="A-3.7">Agricultural Marketing Programs Act</XRefExternal>.</Text></Section><Heading lims:inforce-start-date="2015-02-27" lims:fid="9024" lims:id="9024" level="1"><TitleText>Interpretation</TitleText></Heading><Section lims:inforce-start-date="2016-02-05" lims:lastAmendedDate="2016-02-05" lims:fid="9025" lims:id="9025"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9026" lims:id="9026">Definitions</MarginalNote><Label>2</Label><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9027" lims:id="9027"><Label>(1)</Label><Text>The definitions in this subsection apply in this Act.</Text><Definition lims:inforce-start-date="2016-02-05" lims:fid="9028" lims:id="9028"><Text><DefinedTermEn>administrator</DefinedTermEn> means one of the following organizations, if it has the power to sue and be sued in its own name: </Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9029" lims:id="9029"><Label>(a)</Label><Text>an organization of producers that is involved in marketing an agricultural product to which Part I applies;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9030" lims:id="9030"><Label>(b)</Label><Text>an organization, other than a lender, that the Minister, taking into account any criteria prescribed by regulation, determines to be an organization that represents producers who produce, in an area, a significant portion of an agricultural product to which Part I applies; or</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9031" lims:id="9031"><Label>(c)</Label><Text>an organization, including a lender, that the Minister determines to be an organization that would be able to make advances more accessible to producers and that the Minister designates as an administrator. (<DefinedTermFr>agent d’exécution</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9032" lims:id="9032"><Text><DefinedTermEn>advance</DefinedTermEn> means an advance payment to an eligible producer for an agricultural product. (<DefinedTermFr>avance</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9033" lims:id="9033"><Text><DefinedTermEn>advance guarantee agreement</DefinedTermEn> means an agreement under section 5. (<DefinedTermFr>accord de garantie d’avance</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9034" lims:id="9034"><Text><DefinedTermEn>agricultural product</DefinedTermEn> means an animal or a plant or a product, including any food or drink, that is wholly or partly derived from an animal or a plant. (<DefinedTermFr>produit agricole</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9037" lims:id="9037"><Text><DefinedTermEn>crop unit</DefinedTermEn><Repealed>[Repealed, 2006, c. 3, s. 1]</Repealed></Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9038" lims:id="9038"><Text><DefinedTermEn>crop year</DefinedTermEn><Repealed>[Repealed, 2006, c. 3, s. 1]</Repealed></Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9039" lims:id="9039"><Text><DefinedTermEn>Her Majesty</DefinedTermEn> means Her Majesty in right of Canada. (<DefinedTermFr>Sa Majesté</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9040" lims:id="9040"><Text><DefinedTermEn>lender</DefinedTermEn> means a financial institution, as defined in section 2 of the <XRefExternal reference-type="act" link="B-1.01">Bank Act</XRefExternal>, or any other legal entity that the Minister of Finance may designate for the purposes of this Act on the application of that entity. (<DefinedTermFr>prêteur</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9041" lims:id="9041"><Text><DefinedTermEn>livestock</DefinedTermEn> means cattle, sheep, swine and bison and any other animals that may be designated by regulation. (<DefinedTermFr>bétail</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9042" lims:id="9042"><Text><DefinedTermEn>marketing agency</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9043" lims:id="9043"><Label>(a)</Label><Text>an association of producers whose object is the marketing, under a cooperative plan, of agricultural products produced by the producers;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9044" lims:id="9044"><Label>(b)</Label><Text>a person engaged in the processing of agricultural products for marketing under a cooperative plan; or</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9045" lims:id="9045"><Label>(c)</Label><Text>a person authorized by one or more associations or persons mentioned in paragraphs (a) and (b) to market agricultural products under a single cooperative plan. (<DefinedTermFr>agence de commercialisation</DefinedTermFr>)</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9046" lims:id="9046"><Label>(d)</Label><Text><Repealed>[Repealed, 2011, c. 25, s. 16]</Repealed></Text></Paragraph></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9047" lims:id="9047"><Text><DefinedTermEn>Minister</DefinedTermEn> means the Minister of Agriculture and Agri-Food. (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9048" lims:id="9048"><Text><DefinedTermEn>permit book</DefinedTermEn><Repealed>[Repealed, 2011, c. 25, s. 16]</Repealed></Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9049" lims:id="9049"><Text><DefinedTermEn>price guarantee agreement</DefinedTermEn> means an agreement under section 28. (<DefinedTermFr>accord de garantie des prix</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9050" lims:id="9050"><Text><DefinedTermEn>producer</DefinedTermEn> means a producer of an agricultural product who is</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9051" lims:id="9051"><Label>(a)</Label><Text>a Canadian citizen or a permanent resident within the meaning of subsection 2(1) of the <XRefExternal reference-type="act" link="I-2.5">Immigration and Refugee Protection Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9052" lims:id="9052"><Label>(b)</Label><Text>a corporation that is controlled by one or more of the persons or entities referred to in paragraphs (a), (c) and (d);</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9053" lims:id="9053"><Label>(c)</Label><Text>a cooperative a majority of whose members are Canadian citizens or permanent residents; or</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9054" lims:id="9054"><Label>(d)</Label><Text>a partnership or other association of persons where partners or members who are Canadian citizens or permanent residents are entitled to at least 50% of the profits of the partnership or association. (<DefinedTermFr>producteur</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9055" lims:id="9055"><Text><DefinedTermEn>production period</DefinedTermEn>, in respect of an agricultural product, means the period of up to 18 months — or any longer period that is fixed by the Minister — specified in the advance guarantee agreement relating to the agricultural product. (<DefinedTermFr>campagne agricole</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9056" lims:id="9056"><Text><DefinedTermEn>production unit</DefinedTermEn>, in respect of an agricultural product, means the production unit specified in the advance guarantee agreement relating to the agricultural product. (<DefinedTermFr>unité de production</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9057" lims:id="9057"><Text><DefinedTermEn>program year</DefinedTermEn>, in respect of an advance, means the period that is specified in the advance guarantee agreement and the repayment agreement that relates to the advance. (<DefinedTermFr>année de programme</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2016-02-05" lims:fid="9058" lims:id="9058"><Text><DefinedTermEn>repayment agreement</DefinedTermEn> means an agreement under subsection 10(2). (<DefinedTermFr>accord de remboursement</DefinedTermFr>)</Text></Definition></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9059" lims:id="9059"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9060" lims:id="9060">Interpretation</MarginalNote><Label>(2)</Label><Text>For the purpose of paragraph (b) of the definition <DefinedTermEn>producer</DefinedTermEn> in subsection (1), a corporation is controlled by a person or entity if the corporation is controlled in any manner that results in control in fact, whether directly through the ownership of voting shares or indirectly through a trustee or other person who administers the property of another, a legal representative, an agent or mandatary or other intermediary acting as nominee or otherwise, a trust, a contract, the ownership of a corporation or otherwise.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2016-02-05" lims:fid="9062" lims:id="9062">1997, c. 20, s. 2; 1998, c. 17, lims:lastAmendedDate="2015-02-27" lims:fid="9063" lims:id="9063"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9064" lims:id="9064">Related producers</MarginalNote><Label>3</Label><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9065" lims:id="9065"><Label>(1)</Label><Text>Producers are related for the purposes of this Act if they do not deal with each other at arm’s length.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9066" lims:id="9066"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9067" lims:id="9067">Presumption</MarginalNote><Label>(2)</Label><Text>In the absence of proof to the contrary, a producer is presumed to be related to another producer in any of the following circumstances:</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9068" lims:id="9068"><Label>(a)</Label><Text>the producer controls, directly or indirectly in any manner, the other producer;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9069" lims:id="9069"><Label>(b)</Label><Text>the producer is controlled, directly or indirectly in any manner, by the same person or group of persons as the other producer;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9070" lims:id="9070"><Label>(c)</Label><Text>the producer carries on a farming operation in partnership with the other producer;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9071" lims:id="9071"><Label>(d)</Label><Text>the producer shares any management services, administrative services, equipment, facilities or overhead expenses of a farming operation with the other producer, but is not in partnership with that other producer;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9072" lims:id="9072"><Label>(e)</Label><Text>any other circumstances set out in the regulations.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9073" lims:id="9073"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9074" lims:id="9074">Definition of <DefinedTermEn>group of persons</DefinedTermEn></MarginalNote><Label>(3)</Label><Text>For the purposes of subsection (2), <DefinedTermEn>group of persons</DefinedTermEn> means a producer that is a partnership, cooperative or other association of persons.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2015-02-27" lims:fid="9077" lims:id="9077" level="1"><Label>PART I</Label><TitleText>Advance Payments Program</TitleText></Heading><Heading lims:inforce-start-date="2015-02-27" lims:fid="9078" lims:id="9078" level="2"><TitleText>Advance Guarantee Agreements</TitleText></Heading><Section lims:inforce-start-date="2006-11-27" lims:lastAmendedDate="2006-11-27" lims:fid="9079" lims:id="9079"><MarginalNote lims:inforce-start-date="2006-11-27" lims:fid="9080" lims:id="9080">Purpose</MarginalNote><Label>4</Label><Text>The purpose of this Part is to improve marketing opportunities for the agricultural products of eligible producers by guaranteeing the repayment of the advances made to them as a means of improving their cash-flow.</Text><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-11-27" lims:fid="9082" lims:id="9082">1997, c. 20, s. 4; 2006, c. 3, s. 2</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2015-02-27" lims:lastAmendedDate="2015-02-27" lims:fid="9083" lims:id="9083"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9084" lims:id="9084">Eligible agricultural products</MarginalNote><Label>4.1</Label><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9085" lims:id="9085"><Label>(1)</Label><Text>Subject to subsections (2) and (3), this Part applies only in respect of an agricultural product that meets the following criteria:</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9086" lims:id="9086"><Label>(a)</Label><Text>the agricultural product is</Text><Subparagraph lims:inforce-start-date="2015-02-27" lims:fid="9087" lims:id="9087"><Label>(i)</Label><Text>an animal that is raised in Canada or the fur pelt of such an animal,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2015-02-27" lims:fid="9088" lims:id="9088"><Label>(ii)</Label><Text>a plant that is grown in Canada or the product of such a plant, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2015-02-27" lims:fid="9089" lims:id="9089"><Label>(iii)</Label><Text>honey or maple syrup that is produced in Canada;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9090" lims:id="9090"><Label>(b)</Label><Text>the Minister has determined, taking into account any criteria prescribed by regulation, that it is possible to establish an average price for the agricultural product; and</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9091" lims:id="9091"><Label>(c)</Label><Text>the Minister has determined, taking into account any criteria prescribed by regulation, that the agricultural product is not processed or, in the case of a perishable agricultural product, is not processed beyond what is necessary to store it and prevent spoilage.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9092" lims:id="9092"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9093" lims:id="9093">Breeding animals</MarginalNote><Label>(2)</Label><Text>Subject to any regulations made under paragraph (3)(b), animals that are or were used as breeding animals are not agricultural products that are subject to this Part.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9094" lims:id="9094"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9095" lims:id="9095">Regulations</MarginalNote><Label>(3)</Label><Text>The Governor in Council may make regulations</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9096" lims:id="9096"><Label>(a)</Label><Text>designating any agricultural product as being subject to this Part; and</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9097" lims:id="9097"><Label>(b)</Label><Text>designating any breeding animals or classes of breeding animals as being subject to this Part and respecting any conditions related to that designation.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2015-02-27" lims:fid="9099" lims:id="9099">2006, c. 3, s. 2; 2015, c. 2, s. 123</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2016-02-05" lims:lastAmendedDate="2016-02-05" lims:fid="9100" lims:id="9100"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9101" lims:id="9101">Agreements to guarantee repayment of advances</MarginalNote><Label>5</Label><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9102" lims:id="9102"><Label>(1)</Label><Text>Subject to the other provisions of this Act, the Minister may make an agreement with an administrator or with an administrator and a lender for the purposes of</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9103" lims:id="9103"><Label>(a)</Label><Text>guaranteeing to the administrator or, if the agreement is made with an administrator and a lender, to the lender, the repayment of advances that the administrator makes to eligible producers from money borrowed for the purpose of making the advances, together with any interest on the advances; and</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9104" lims:id="9104"><Label>(b)</Label><Text>setting out the obligations of the administrator in relation to the advances and their repayment.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9105" lims:id="9105"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9106" lims:id="9106">Restriction</MarginalNote><Label>(1.1)</Label><Text>An advance guarantee agreement may be made with an administrator and a lender, or with an administrator that is a lender, only if the Minister is satisfied that doing so will reduce the interest payable to the lender and the agreement is made subject to terms and conditions approved by the Minister of Finance.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9107" lims:id="9107"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9108" lims:id="9108">Conditions concerning the guarantee</MarginalNote><Label>(1.2)</Label><Text>If a guarantee under the advance guarantee agreement is made to a lender, or to an administrator that is a lender, the agreement must provide, in addition to any other terms and conditions, that the interest rate on the money provided by the lender, or by the administrator, as the case may be, will not exceed the rate specified in the agreement.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9109" lims:id="9109"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9110" lims:id="9110">Administrator to demonstrate ability</MarginalNote><Label>(2)</Label><Text>An administrator must demonstrate to the Minister that it is capable of meeting its obligations under the advance guarantee agreement.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9111" lims:id="9111"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9112" lims:id="9112">Terms and conditions</MarginalNote><Label>(3)</Label><Text>In addition to identifying the agricultural products and specifying the terms and conditions governing advances and their repayment, an advance guarantee agreement must provide that the administrator agrees</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9113" lims:id="9113"><Label>(a)</Label><Text>to make an agreement with each buyer mentioned in subparagraph 10(2)(a)(i), other than the administrator, to withhold amounts as provided in that subparagraph and to remit them immediately to the administrator;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9114" lims:id="9114"><Label>(b)</Label><Text>to withhold amounts as provided in subparagraph 10(2)(a)(i) in cases where the administrator is the buyer;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9115" lims:id="9115"><Label>(c)</Label><Text>to make the advances from money borrowed from a lender;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9116" lims:id="9116"><Label>(d)</Label><Text>to ensure that the interest rate on the money borrowed by the administrator will not exceed the rate specified in the advance guarantee agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9117" lims:id="9117"><Label>(e)</Label><Text>to take steps, in accordance with the advance guarantee agreement, to ensure that, before an advance is made</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9118" lims:id="9118"><Label>(i)</Label><Text>in the case of an agricultural product that is storable,</Text><Clause lims:inforce-start-date="2016-02-05" lims:fid="9119" lims:id="9119"><Label>(A)</Label><Text>it is of marketable quality and stored so as to remain of marketable quality until disposed of in accordance with the repayment agreement, or</Text></Clause><Clause lims:inforce-start-date="2016-02-05" lims:fid="9120" lims:id="9120"><Label>(B)</Label><Text>if it is in the course of being produced or is not yet produced, either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12,</Text></Clause></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9121" lims:id="9121"><Label>(ii)</Label><Text>in the case of an agricultural product that is not storable,</Text><Clause lims:inforce-start-date="2016-02-05" lims:fid="9122" lims:id="9122"><Label>(A)</Label><Text>it is of marketable quality and maintained so as to remain of marketable quality until disposed of in accordance with the repayment agreement and either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12, or</Text></Clause><Clause lims:inforce-start-date="2016-02-05" lims:fid="9123" lims:id="9123"><Label>(B)</Label><Text>if it is in the course of being produced or is not yet produced, either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12, and</Text></Clause></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9124" lims:id="9124"><Label>(iii)</Label><Text>despite subparagraphs (i) and (ii), in the case of an agricultural product that is livestock, it is of marketable quality and maintained so as to remain of marketable quality until disposed of in accordance with the repayment agreement;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9125" lims:id="9125"><Label>(f)</Label><Text>to repay the money it borrows from the lender, together with the interest, by paying to the lender, within the period specified in the advance guarantee agreement, the amounts the administrator receives as repayment of advances;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9126" lims:id="9126"><Label>(g)</Label><Text><Repealed>[Repealed, 2015, c. 2, s. 124]</Repealed></Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9127" lims:id="9127"><Label>(h)</Label><Text>to pay to the Minister any additional interest resulting from its failure to make payments required by paragraph (f);</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9128" lims:id="9128"><Label>(h.1)</Label><Text>after the administrator receives the payment of interest referred to in subparagraph 10(2)(a)(v), to pay to the Minister, within the period specified in the advance guarantee agreement, any interest paid by the Minister under subsection 9(1) on the amount of an advance that is repaid by a producer to the administrator without proof that the agricultural product has been sold;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9129" lims:id="9129"><Label>(i)</Label><Text>to pay to the Minister, within the period specified in the advance guarantee agreement, the amount repaid to the administrator under a repayment agreement by a defaulting producer if the Minister has previously made a payment for the producer under subsection 23(1) or (1.1); and</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9130" lims:id="9130"><Label>(j)</Label><Text>to assign, on the Minister’s request and within any period that the Minister specifies, its rights and obligations under the advance guarantee agreement to any entity that the Minister specifies, if the administrator has not met all of its obligations under the agreement and the Minister has sent a notice to the administrator stating that the administrator has had, in the Minister’s opinion, adequate opportunity to meet the obligations, and requesting the administrator to meet them.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9131" lims:id="9131"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9132" lims:id="9132">Specific terms and conditions</MarginalNote><Label>(3.01)</Label><Text>An advance guarantee agreement may include any of the following terms and conditions governing advances and their repayment:</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9133" lims:id="9133"><Label>(a)</Label><Text>the administrator must agree to make advances to producers solely in the areas specified in the agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9134" lims:id="9134"><Label>(b)</Label><Text>the administrator must agree to make advances to producers solely in relation to the agricultural product specified in the agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9135" lims:id="9135"><Label>(c)</Label><Text>the producer must agree to inform the administrator of the producer’s participation in any program listed in the schedule; and</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9136" lims:id="9136"><Label>(d)</Label><Text>the producer must agree to assign, if in default, any amounts payable to the producer under a program listed in the schedule to</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9137" lims:id="9137"><Label>(i)</Label><Text>the administrator, to the extent of the producer’s liability under section 22, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9138" lims:id="9138"><Label>(ii)</Label><Text>the Minister, to the extent of the producer’s liability under section 23.</Text></Subparagraph></Paragraph></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9139" lims:id="9139"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9140" lims:id="9140">Designation by Minister</MarginalNote><Label>(3.02)</Label><Text>The Minister may designate, in the advance guarantee agreement with the administrator, agricultural products or classes of agricultural products with respect to which an amount of an advance may be repaid, without proof that the agricultural product has been sold, before the expiry of the production period for which the advance was made.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9141" lims:id="9141"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9142" lims:id="9142">Exception</MarginalNote><Label>(3.1)</Label><Text>The terms described in paragraphs (3)(c) and (f) — and in paragraph (3)(h) in relation to payments required by paragraph (3)(f) — are not required if the Minister and an administrator are the only parties to the agreement.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9143" lims:id="9143"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9144" lims:id="9144">Schedule</MarginalNote><Label>(3.2)</Label><Text>The Governor in Council may, by regulation, on the recommendation of the Minister, amend the schedule by adding to it, or deleting from it, the name of a program.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9145" lims:id="9145"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9146" lims:id="9146">Restriction</MarginalNote><Label>(3.3)</Label><Text>An amendment to an advance guarantee agreement may not be made during the period specified in it that constitutes the production period if doing so would extend that period beyond 18 months, or the longer period fixed by the Minister, if one was so fixed before the advance guarantee agreement was entered into.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9147" lims:id="9147"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9148" lims:id="9148">Recovery of costs</MarginalNote><Label>(4)</Label><Text>The administrator may, subject to any terms and conditions of the advance guarantee agreement, charge fees to producers for the purpose of recovering any costs under this Part, including costs related to the recovery of outstanding amounts from producers who are in default under a repayment agreement and costs of receiving and dealing with applications for advances, administering advances and any other administrative services.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9149" lims:id="9149"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9150" lims:id="9150">Maximum contingent liability</MarginalNote><Label>(5)</Label><Text>The aggregate contingent liability of Her Majesty in relation to the principal outstanding under guarantees made under advance guarantee agreements must not at any time exceed $5 billion or the amount fixed by regulation.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9151" lims:id="9151"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9152" lims:id="9152">Amounts withheld from advance</MarginalNote><Label>(6)</Label><Text>The administrator may, with the Minister’s approval, withhold amounts from an advance made to a producer for a purpose authorized under the advance guarantee agreement.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:fid="9157" lims:id="9157"><Label>(1)</Label><Text>The Minister may enter into an advance guarantee agreement with an administrator without making the guarantee referred to in paragraph 5(1)(a) if the Minister is satisfied that the repayment of the advances to be made under the agreement will be guaranteed by another person or entity.</Text></Subsection><Subsection lims:fid="9172" lims:id="9172"><Label>(1)</Label><Text>The advance guarantee agreement may authorize the administrator to pay, subject to any terms and conditions set out in the advance guarantee agreement, a portion of an advance as an emergency advance to an eligible producer who</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9173" lims:id="9173"><Label>(a)</Label><Text>has difficulty producing the producer’s agricultural product because of unusual production conditions that are attributable to weather or natural disaster, if it is reasonable to expect that the agricultural product will be marketable; or</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9174" lims:id="9174"><Label>(b)</Label><Text>experiences severe economic hardship, if the Governor in Council, on the recommendation of the Minister and the Minister of Finance, has declared — taking into account any criteria prescribed by regulation — that severe economic hardship affects a class of eligible producers to which that producer belongs and that the severe economic hardship would likely be substantially mitigated by emergency advances.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9175" lims:id="9175"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9176" lims:id="9176">Time limit for payment</MarginalNote><Label>(2)</Label><Text>When acting under paragraph (1)(b), the Governor in Council must specify the time limit — not later than the day on which the production period ends — within which the emergency advances under that paragraph must be paid.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9177" lims:id="9177"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9178" lims:id="9178">Maximum amount</MarginalNote><Label>(3)</Label><Text>The maximum amount of the emergency advance is</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9179" lims:id="9179"><Label>(a)</Label><Text>in the case of an emergency advance under paragraph (1)(a), the lesser of $25,000, or the amount fixed by regulation, and 50%, or the percentage fixed by regulation, of the advance that the administrator expects to make to the producer in respect of the agricultural product on the basis of the amount of that product that is expected to be produced; or</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9180" lims:id="9180"><Label>(b)</Label><Text>in the case of an emergency advance under paragraph (1)(b), the lesser of $400,000, or the amount fixed by regulation, and 100%, or the percentage fixed by regulation, of the advance referred to in paragraph (a).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9181" lims:id="9181"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9182" lims:id="9182">Provisions do not apply</MarginalNote><Label>(4)</Label><Text>Paragraph 5(3)(e) does not apply to emergency advances under paragraph (1)(a) and, unless the advance guarantee agreement lims:fid="9196" lims:id="9196"><Label>(1)</Label><Text>The Minister must, in relation to each producer, pay to the lender specified in an advance guarantee agreement — or, if the agreement was made only with an administrator, to the administrator — the interest accruing on the amounts borrowed by the administrator to pay the first $100,000 — or the amount fixed by regulation — of the total of the following amounts:</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9197" lims:id="9197"><Label>(a)</Label><Text>the amounts of advances received by the producer during the program lims:id="9198"><Label>(b)</Label><Text>the amounts of advances that are received by or attributed to all related producers during the program year for all of their agricultural products, including amounts under any other advance guarantee agreements, and that are attributable to the producer under subsection (2).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9199" lims:id="9199"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9200" lims:id="9200">Attribution</MarginalNote><Label>(2)</Label><Text>If a producer is related to another producer, the amounts received by, or attributed to, the other producer are attributable to the producer in accordance with the percentage or method of calculation set out in the regulations.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9201" lims:id="9201"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9202" lims:id="9202">Interest on emergency advances</MarginalNote><Label>(3)</Label><Text>The Minister is not required to pay the interest for an emergency advance, unless the advance guarantee agreement provides for its payment.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9203" lims:id="9203"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9204" lims:id="9204">Reduction of principal</MarginalNote><Label>(4)</Label><Text>When an amount is repaid on account of a guaranteed advance, the amount on which the Minister must pay interest is reduced Repayment</TitleText></Heading><Section lims:inforce-start-date="2016-02-05" lims:lastAmendedDate="2016-02-05" lims:fid="9208" lims:id="9208"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9209" lims:id="9209">Eligibility requirements for producers</MarginalNote><Label>10</Label><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9210" lims:id="9210"><Label>(1)</Label><Text>For a producer to be eligible for a guaranteed advance during a program year,</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9211" lims:id="9211"><Label>(a)</Label><Text>the Minister must determine, taking into account any criteria prescribed by regulation, that the producer continuously owns the agricultural product, is responsible for marketing it and either is or was producing it;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9212" lims:id="9212"><Label>(b)</Label><Text>if the producer is an individual, the producer must have attained the age of majority in the province where the producer’s farming operation is carried on;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9213" lims:id="9213"><Label>(c)</Label><Text>if the producer is a corporation with only one shareholder,</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9214" lims:id="9214"><Label>(i)</Label><Text>the individual who makes the application for an advance on the producer’s behalf must have attained the age of majority in the province where the producer’s farming operation is carried on, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9215" lims:id="9215"><Label>(ii)</Label><Text>the shareholder must agree in writing to be personally liable — or a guarantor prescribed by the regulations must agree in writing to be liable — to the administrator for any of the producer’s liability under section 22 and to provide any security for the repayment of the advance that the administrator requires;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9216" lims:id="9216"><Label>(d)</Label><Text>if the producer is a corporation with two or more shareholders, a partnership, a cooperative or another association of persons,</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9217" lims:id="9217"><Label>(i)</Label><Text>the individual who makes the application for an advance on behalf of the corporation, partnership, cooperative or association must have attained the age of majority in the province where the producer’s farming operation is carried on, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9218" lims:id="9218"><Label>(ii)</Label><Text>each of the shareholders, partners or members, as the case may be, must agree in writing to be jointly and severally, or solidarily, liable — or a guarantor prescribed by the regulations must agree in writing to be liable — to the administrator for the producer’s liability under section 22 and to provide any security for the repayment of the advance that the administrator requires;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9219" lims:id="9219"><Label>(e)</Label><Text>the producer and, to the extent provided in the advance guarantee agreement, any related producers must not be in default under a repayment agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9220" lims:id="9220"><Label>(f)</Label><Text>the producer must not be ineligible under subsection 21(4);</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9221" lims:id="9221"><Label>(f.1)</Label><Text>the producer must demonstrate to the administrator that they are capable of meeting their obligations under the repayment agreement and that they are meeting all of their obligations under any other repayment agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9222" lims:id="9222"><Label>(g)</Label><Text>the producer must not have given the agricultural product, or any amount to be received under a program listed in the schedule, as security ranking in priority to the security created by section 12;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9223" lims:id="9223"><Label>(h)</Label><Text>the producer must demonstrate that</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9224" lims:id="9224"><Label>(i)</Label><Text>in the case of an agricultural product that is storable,</Text><Clause lims:inforce-start-date="2016-02-05" lims:fid="9225" lims:id="9225"><Label>(A)</Label><Text>it is of marketable quality and stored so as to remain of marketable quality until disposed of in accordance with the repayment agreement, or</Text></Clause><Clause lims:inforce-start-date="2016-02-05" lims:fid="9226" lims:id="9226"><Label>(B)</Label><Text>if it is in the course of being produced or is not yet produced, either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12,</Text></Clause></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9227" lims:id="9227"><Label>(ii)</Label><Text>in the case of an agricultural product that is not storable,</Text><Clause lims:inforce-start-date="2016-02-05" lims:fid="9228" lims:id="9228"><Label>(A)</Label><Text>it is of marketable quality and maintained so as to remain of marketable quality until disposed of in accordance with the repayment agreement and either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12, or</Text></Clause><Clause lims:inforce-start-date="2016-02-05" lims:fid="9229" lims:id="9229"><Label>(B)</Label><Text>if it is in the course of being produced or is not yet produced, either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12, and</Text></Clause></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9230" lims:id="9230"><Label>(iii)</Label><Text>despite subparagraphs (i) and (ii), in the case of an agricultural product that is livestock, it is of marketable quality and maintained so as to remain of marketable quality until disposed of in accordance with the repayment agreement; and</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9231" lims:id="9231"><Label>(i)</Label><Text>the producer must meet any additional requirements prescribed by regulation.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9232" lims:id="9232"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9233" lims:id="9233">Sharing security</MarginalNote><Label>(1.1)</Label><Text>For the purpose of paragraph (1)(g), the producer’s eligibility is not affected by the administrator sharing the security referred to in section 12 with another creditor in accordance with the terms and conditions specified in the advance guarantee agreement.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9234" lims:id="9234"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9235" lims:id="9235">Eligible producers must make repayment agreements</MarginalNote><Label>(2)</Label><Text>An eligible producer must make a repayment agreement with the administrator under which the producer agrees</Text><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9236" lims:id="9236"><Label>(a)</Label><Text>to repay the advance</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9237" lims:id="9237"><Label>(i)</Label><Text>by selling the agricultural product for which the advance is to be made to a buyer or buyers named by the administrator, and authorizing in writing each buyer to withhold from any amount they pay to the producer for each production unit an amount determined in accordance with the repayment schedule specified in the agreement,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9238" lims:id="9238"><Label>(ii)</Label><Text>by selling, in accordance with the terms and conditions specified in the agreement, the agricultural product for which the advance is to be made and paying directly to the administrator, for each production unit, an amount determined in accordance with the repayment schedule specified in the agreement,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9239" lims:id="9239"><Label>(iii)</Label><Text>by paying directly to the administrator any amount received under a program listed in the schedule in accordance with the terms and conditions specified in the agreement,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9240" lims:id="9240"><Label>(iv)</Label><Text>by assigning to the administrator amounts payable to the producer under a program listed in the schedule in accordance with the terms and conditions specified in the agreement,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9241" lims:id="9241"><Label>(v)</Label><Text>if the producer repays to the administrator an amount of the advance without proof that the agricultural product has been sold and that amount is greater than the amount prescribed by the regulations, by paying to the administrator, in accordance with the terms and conditions specified in the repayment agreement, the amount of interest owed under that agreement on the difference obtained by subtracting that prescribed amount from that repaid amount,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9242" lims:id="9242"><Label>(vi)</Label><Text>by any other means prescribed by the regulations, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9243" lims:id="9243"><Label>(vii)</Label><Text>by paying the administrator using a combination of the means described in subparagraphs (i) to (vi);</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9244" lims:id="9244"><Label>(a.1)</Label><Text>if the repayment agreement is in respect of an agricultural product designated by the Minister in the advance guarantee agreement, or an agricultural product in a class of agricultural products that is so designated, to repay the amount of the advance with respect to that agricultural product, with or without proof that it has been sold, before the expiry of the production period for which the advance was made;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9245" lims:id="9245"><Label>(b)</Label><Text>to ensure that</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9246" lims:id="9246"><Label>(i)</Label><Text>in the case of an agricultural product that is storable,</Text><Clause lims:inforce-start-date="2016-02-05" lims:fid="9247" lims:id="9247"><Label>(A)</Label><Text>it is of marketable quality and will be stored so as to remain of marketable quality until disposed of in accordance with the repayment agreement, or</Text></Clause><Clause lims:inforce-start-date="2016-02-05" lims:fid="9248" lims:id="9248"><Label>(B)</Label><Text>if it is in the course of being produced or is not yet produced, either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12,</Text></Clause></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9249" lims:id="9249"><Label>(ii)</Label><Text>in the case of an agricultural product that is not storable,</Text><Clause lims:inforce-start-date="2016-02-05" lims:fid="9250" lims:id="9250"><Label>(A)</Label><Text>it is of marketable quality and will be maintained so as to remain of marketable quality until disposed of in accordance with the repayment agreement and either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12, or</Text></Clause><Clause lims:inforce-start-date="2016-02-05" lims:fid="9251" lims:id="9251"><Label>(B)</Label><Text>if it is in the course of being produced or is not yet produced, either the amount of the advance is covered by a program listed in the schedule and the amounts that may be received under that program are assignable or the amount of the advance is covered by the security referred to in section 12, and</Text></Clause></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9252" lims:id="9252"><Label>(iii)</Label><Text>despite subparagraphs (i) and (ii), in the case of an agricultural product that is livestock, it is of marketable quality and will be maintained so as to remain of marketable quality until disposed of in accordance with the repayment agreement;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9253" lims:id="9253"><Label>(b.1)</Label><Text>if required by the advance guarantee agreement, to inform the administrator of the producer’s participation in any program listed in the schedule;</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9254" lims:id="9254"><Label>(b.2)</Label><Text>if required by the advance guarantee agreement, to assign, if the producer is in default, any amounts payable to the producer under a program listed in the schedule to</Text><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9255" lims:id="9255"><Label>(i)</Label><Text>the administrator, to the extent of the producer’s liability under section 22, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2016-02-05" lims:fid="9256" lims:id="9256"><Label>(ii)</Label><Text>the Minister, to the extent of the producer’s liability under section 23;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9257" lims:id="9257"><Label>(c)</Label><Text>to repay the amount of the overpayment, if any, of the advance within the period that begins on the earlier of the day on which the producer becomes aware of the overpayment and the day on which the administrator mails or delivers a notice to the producer stating that there has been an overpayment of the advance and ends on the expiry of the number of days set out in the agreement; and</Text></Paragraph><Paragraph lims:inforce-start-date="2016-02-05" lims:fid="9258" lims:id="9258"><Label>(d)</Label><Text>to comply with any other terms and conditions set out in the agreement, including terms and conditions governing the delivery of the agricultural product and the payment of interest, both before and after any default.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9259" lims:id="9259"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9260" lims:id="9260">Waiver</MarginalNote><Label>(2.1)</Label><Text>The administrator may, with the Minister’s approval and subject to any conditions specified by the Minister, waive those requirements of a repayment agreement that are referred to in paragraph 2(a) in order to permit a producer to repay an advance under the agreement if the administrator is satisfied that the agricultural product in respect of which the advance has been made has not been disposed of by the producer.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9261" lims:id="9261"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9262" lims:id="9262">Terms and conditions governing emergency advances</MarginalNote><Label>(3)</Label><Text>Terms and conditions in the advance guarantee agreement relating to emergency advances must also be included in the repayment agreements of producers who receive those advances.</Text></Subsection><Subsection lims:inforce-start-date="2016-02-05" lims:fid="9263" lims:id="9263"><MarginalNote lims:inforce-start-date="2016-02-05" lims:fid="9264" lims:id="9264">Required information</MarginalNote><Label>(4)</Label><Text>The producer must provide to the administrator any information that it requests for the purpose of applying this lims:id="9294">Administrator’s percentage</MarginalNote><Label>(1.1)</Label><Text>The administrator’s percentage mentioned in paragraph (1)(c), as determined under the regulations, must not exceed 10%. 2006, c. 3, s. 11; 2015, c. 2, s. 133</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2015-02-27" lims:fid="9314" lims:id="9314" level="2"><TitleText>Default</TitleText></Heading><Section lims:inforce-start-date="2015-02-27" lims:lastAmendedDate="2015-02-27" lims:fid="9315" lims:id="9315"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9316" lims:id="9316">Circumstances constituting default</MarginalNote><Label>21</Label><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9317" lims:id="9317"><Label>(1)</Label><Text>For the purposes of this Part, a producer is in default under a repayment agreement if the producer</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9318" lims:id="9318"><Label>(a)</Label><Text>has not met all of their obligations under the agreement within 21 days after the day on which the administrator mails or delivers a notice to the producer stating that the producer has had, in the administrator’s opinion, adequate opportunity to meet the obligations, and requesting the producer to meet them;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9319" lims:id="9319"><Label>(b)</Label><Text>has not met all of their obligations under the agreement at the end of the production period for which the advance was made;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9320" lims:id="9320"><Label>(c)</Label><Text>has not met all of their obligations under the agreement when the producer files an assignment under the <XRefExternal reference-type="act" link="B-3">Bankruptcy and Insolvency Act</XRefExternal> or a bankruptcy order is made under that Act against the producer;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9321" lims:id="9321"><Label>(c.1)</Label><Text>becomes the subject of proceedings under the <XRefExternal reference-type="act" link="C-36">Companies’ Creditors Arrangement Act</XRefExternal> and has not met all of their obligations under the agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9322" lims:id="9322"><Label>(c.2)</Label><Text>has made an application under section 5 of the <XRefExternal reference-type="act" link="F-2.27">Farm Debt Mediation Act</XRefExternal> and has not met all of their obligations under the agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9323" lims:id="9323"><Label>(d)</Label><Text>at any time breaches an obligation under the agreement and, if the breach relates to the obligation to store the agricultural product or to maintain it so that it remains of marketable quality, section 11 does not apply;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9324" lims:id="9324"><Label>(d.1)</Label><Text>is, in the administrator’s opinion, at fault for causing or contributing to a decrease in the value of the security taken by the administrator under section 12 and, as a result, in the administrator’s opinion, the value of the security is less than the value of the outstanding amount of the advance; or</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9325" lims:id="9325"><Label>(e)</Label><Text>provides false or misleading information to the administrator for the purpose of obtaining a guaranteed advance, or evading compliance with an undertaking to repay it.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9326" lims:id="9326"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9327" lims:id="9327">Stay of default</MarginalNote><Label>(2)</Label><Text>Subject to any regulations, if a default is impending, the Minister may, at the administrator’s request, order the default to be stayed for a specified period on any terms and conditions that the Minister may establish.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9328" lims:id="9328"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9329" lims:id="9329">Liability of producer</MarginalNote><Label>(2.1)</Label><Text>A producer in respect of whom a stay of default is ordered is liable to the administrator for the costs incurred by the administrator in relation to the stay of default, other than the costs that the administrator has recovered by means of a fee charged to the producer under subsection 5(4).</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9330" lims:id="9330"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9331" lims:id="9331">When default ceases</MarginalNote><Label>(3)</Label><Text>A producer ceases to be in default on the full discharge of the producer’s liability under sections 22 and 23.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9332" lims:id="9332"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9333" lims:id="9333">Ineligibility period</MarginalNote><Label>(4)</Label><Text>An advance guarantee agreement may provide that a producer continues to be ineligible for a guaranteed advance from the administrator for any period specified in the agreement, even though the producer has ceased to be in default.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2015-02-27" lims:fid="9335" lims:id="9335">1997, c. 20, s. 21; or</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9350" lims:id="9350"><Label>(b)</Label><Text>the producer has been in default under the repayment agreement for the period specified in the advance guarantee agreement.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9351" lims:id="9351"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9352" lims:id="9352">Subrogation</MarginalNote><Label>(2)</Label><Text>The Minister is, to the extent of any payment under subsection (1) or (1.1), subrogated to the administrator’s rights against the producer in default and against persons who are liable under paragraphs 10(1)(c) and (d) and may maintain an action, in the name of the administrator or in the name of the Crown, against that producer and those persons.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9353" lims:id="9353"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9354" lims:id="9354">Recovery of interest and costs</MarginalNote><Label>(3)</Label><Text>The producer is liable to the Minister for interest on the subrogated amount, calculated in accordance with the repayment agreement, and the costs incurred by the Minister to recover that amount, including legal costs.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9355" lims:id="9355"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9356" lims:id="9356">Limitation or prescription period</MarginalNote><Label>(4)</Label><Text>Subject to the other provisions of this section, no action or proceedings may be taken by the Minister to recover any amounts, interest and costs owing after the six year period that begins on the day on which the Minister is subrogated to the administrator’s rights.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9357" lims:id="9357"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9358" lims:id="9358">Deduction, set-off or compensation</MarginalNote><Label>(5)</Label><Text>The amounts, interest and costs owing may be recovered at any time by way of deduction from, set-off against or, in Quebec, compensation against any sum of money that may be due or payable by Her Majesty in right of Canada to the person or their estate or succession.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9359" lims:id="9359"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9360" lims:id="9360">Acknowledgment of liability</MarginalNote><Label>(6)</Label><Text>If a person acknowledges liability for the amounts, interest and costs owing, whether before or after the end of the limitation or prescription period, the time during which the limitation or prescription period has run before the acknowledgment of liability does not count in the calculation of the limitation or prescription period and an action or proceedings to recover the amounts, interest and costs may be taken within six years after the day of the acknowledgment of liability.</Text></Subsection><Subsection lims:inforce-start-date="2015-02-27" lims:fid="9361" lims:id="9361"><MarginalNote lims:inforce-start-date="2015-02-27" lims:fid="9362" lims:id="9362">Types of acknowledgment</MarginalNote><Label>(7)</Label><Text>An acknowledgement of liability means</Text><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9363" lims:id="9363"><Label>(a)</Label><Text>a written promise to pay the amounts, interest and costs owing, signed by the person or his or her agent or other representative;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9364" lims:id="9364"><Label>(b)</Label><Text>a written acknowledgment of the amounts, interest and costs owing, signed by the person or his or her agent or other representative, whether or not a promise to pay can be implied from it and whether or not it contains a refusal to pay;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9365" lims:id="9365"><Label>(c)</Label><Text>a payment, even in part, by the person or his or her agent or other representative of any of the amounts, interests and costs owing;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9366" lims:id="9366"><Label>(d)</Label><Text>any acknowledgment of the amounts, interest and costs owing made by the person, his or her agent or other representative or the trustee or administrator in the course of proceedings under the <XRefExternal reference-type="act" link="B-3">Bankruptcy and Insolvency Act</XRefExternal>, the <XRefExternal reference-type="act" link="F-2.27">Farm Debt Mediation Act</XRefExternal> or any other legislation dealing with the payment of debts; 1999, c. 26, s. 46; 2008, c. 7, s. 6; 2015, c. 2, s. 136</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2012-08-01" lims:lastAmendedDate="2012-08-01" lims:fid="9374" lims:id="9374"><Label>24</Label><Text><Repealed>[Repealed, 2011, c. 25, s. 18]</Repealed></Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9375" lims:id="9375"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9376" lims:id="9376">Payments out of the C.R.F.</MarginalNote><Label>25</Label><Text>Payments that the Minister or the Minister of Finance is liable to make under this Part are to be made out of the Consolidated Revenue Fund.</Text></Section><Heading lims:inforce-start-date="2015-02-27" lims:fid="9377" lims:id="9377" level="1"><Label>PART II</Label><TitleText>Price Pooling Program</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9378" lims:id="9378"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9379" lims:id="9379">Purpose</MarginalNote><Label>26</Label><Text>The purpose of this Part is to facilitate the marketing of agricultural products under cooperative plans by guaranteeing minimum average prices of products sold by marketing agencies.</Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9380" lims:id="9380"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9381" lims:id="9381">Conditions for price guarantee agreements</MarginalNote><Label>27</Label><Text>The Minister may, with the approval of the Minister of Finance, establish conditions under which price guarantee agreements may be made.</Text></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9382" lims:id="9382"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9383" lims:id="9383">Minister may make agreements</MarginalNote><Label>28</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9384" lims:id="9384"><Label>(1)</Label><Text>Once the Minister has established the conditions, the Minister may make a price guarantee agreement with a marketing agency.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9385" lims:id="9385"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9386" lims:id="9386">Contents of agreement</MarginalNote><Label>(2)</Label><Text>The price guarantee agreement must provide that</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9387" lims:id="9387"><Label>(a)</Label><Text>the Minister is to pay amounts based on the difference obtained by subtracting</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="9388" lims:id="9388"><Label>(i)</Label><Text>the average wholesale price of an agricultural product</Text></Subparagraph><ContinuedParagraph lims:inforce-start-date="2002-12-31" lims:fid="9389" lims:id="9389"><Text>from</Text></ContinuedParagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="9390" lims:id="9390"><Label>(ii)</Label><Text>the initial payment made by the marketing agency for the agricultural product, together with the marketing agency’s costs;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9391" lims:id="9391"><Label>(b)</Label><Text>the initial payment and the marketing agency’s costs applicable to the agricultural product are those relating to the volume, grade, type and variety of the product at the time of sale;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9392" lims:id="9392"><Label>(c)</Label><Text>the average wholesale price is to be a reasonable price, as determined at the time of sale and, in case of a dispute, the Minister determines the price;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9393" lims:id="9393"><Label>(d)</Label><Text>the initial payment, the marketing agency’s costs and the average wholesale price are to be determined in the manner specified in the agreement, including specified maximum amounts; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9394" lims:id="9394"><Label>(e)</Label><Text>the marketing agency is to comply with this Part and any other terms and conditions specified in the agreement.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9395" lims:id="9395"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9396" lims:id="9396">Requirements for marketing agency</MarginalNote><Label>(3)</Label><Text>The cooperative plan administered by the marketing agency must apply to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9397" lims:id="9397"><Label>(a)</Label><Text>a significant portion of the producers in the area where the plan applies; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9398" lims:id="9398"><Label>(b)</Label><Text>a significant portion of the agricultural product produced in that area.</Text></Paragraph><ContinuedSectionSubsection lims:inforce-start-date="2002-12-31" lims:fid="9399" lims:id="9399"><Text>In addition, the Minister must be satisfied that marketing the product under the cooperative plan will benefit the producers.</Text></ContinuedSectionSubsection></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9400" lims:id="9400"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9401" lims:id="9401">Cooperative plan</MarginalNote><Label>(4)</Label><Text>The cooperative plan must be an agreement or arrangement for marketing that provides for</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9402" lims:id="9402"><Label>(a)</Label><Text>an initial payment to producers for delivery, in accordance with the agreement or arrangement, of an agricultural product produced in Canada;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9403" lims:id="9403"><Label>(b)</Label><Text>pooling the proceeds of the sale of the agricultural product;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9404" lims:id="9404"><Label>(c)</Label><Text>equal returns to the producers for like grades, varieties and types of the agricultural product; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9405" lims:id="9405"><Label>(d)</Label><Text>returning to the producers the proceeds of the sale of all of the agricultural product delivered under the agreement or arrangement and produced during a period of 12 months or less specified in the agreement or arrangement, after deducting the marketing agency’s costs and any reserves.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9406" lims:id="9406"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9407" lims:id="9407">Production and delivery of product</MarginalNote><Label>29</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9408" lims:id="9408"><Label>(1)</Label><Text>The agricultural product must be</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9409" lims:id="9409"><Label>(a)</Label><Text>produced by the producer who received the initial payment during the period specified under paragraph 28(4)(d); or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9458" lims:id="9458"><Label>(b)</Label><Text>fails to disclose any relevant information to a marketing agency or to the Minister.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9459" lims:id="9459"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9460" lims:id="9460">Non-compliance with information requirements</MarginalNote><Label>36</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9461" lims:id="9461"><Label>(1)</Label><Text>A person who does not comply with a requirement to provide information under paragraph 31(1)(d) commits an offence.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9462" lims:id="9462"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9463" lims:id="9463">Evidence of requirements</MarginalNote><Label>(2)</Label><Text>In a prosecution under subsection (1), evidence of a requirement may be given by the production of a copy of the requirement appearing to be certified as a copy by the Minister or another official of the Department of Agriculture and Agri-Food.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9464" lims:id="9464"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9465" lims:id="9465">Punishment</MarginalNote><Label>37</Label><Text>A producer, administrator, marketing agency or other person who commits an offence under this Act is</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="9466" lims:id="9466"><Label>(a)</Label><Text>if the offence is committed wilfully, liable on proceedings by way of indictment to a fine of not more than $500,000, to imprisonment for a term of not more than five years, or to both; Anything done or omitted by a partner or agent of the partnership within the scope of their authority to act on behalf of the partnership is deemed to have been done or omitted by the partnership.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="9471" lims:id="9471"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9472" lims:id="9472">Officers, etc., of corporations or partnerships</MarginalNote><Label>(2)</Label><Text>If a corporation or partnership commits an offence under this Act, whether or not it has been prosecuted or convicted, any officer, director, partner or agent of the corporation or partnership who directed, authorized, assented to, acquiesced in or participated in the commission of the offence is a party to and guilty of the offence and is liable to the punishment provided for the offence.</Text></Subsection></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="9473" lims:id="9473"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="9474" lims:id="9474">Limitation before and after the administrator requests payment from the Minister under subsection 23(1);</Text></Paragraph><Paragraph lims:inforce-start-date="2015-02-27" lims:fid="9504" lims:id="9504"><Label>(g.1)</Label><Text>respecting the terms and conditions that must be met before a request for payment referred to in subsection 23(1) is made by a
