poste</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-06-19" lims:fid="59896" lims:id="59896"><Text><DefinedTermEn>postage</DefinedTermEn> means the charge or surcharge payable for the collection, transmission and delivery by the Corporation of messages, information, funds or goods and for insurance or other special services provided by the Corporation in relation thereto; (<DefinedTermFr>port</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-06-19" lims:fid="59897" lims:id="59897"><Text><DefinedTermEn>postage stamp</DefinedTermEn> means any stamp, postage impression or postage meter impression authorized by the Corporation for the purpose of paying postage; (<DefinedTermFr>timbres-poste</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-06-19" lims:fid="59898" lims:id="59898"><Text><DefinedTermEn>postal remittance</DefinedTermEn> means any instrument authorized by the Corporation for the remittance of funds; (<DefinedTermFr>titre de versement postal</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-06-19" lims:fid="59901" lims:id="59901"><Text><DefinedTermEn>transmit by post</DefinedTermEn> means to transmit through or by means of the Corporation; (<DefinedTermFr>transmission postale</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2013-06-19" lims:fid="59902" lims:id="59902"><Text><DefinedTermEn>undeliverable letter</DefinedTermEn> means any letter that for any reason cannot be delivered to the addressee thereof and includes any letter the delivery of which is prohibited by law or is refused by the addressee or on which postage due is not paid by the sender on demand. (<DefinedTermFr>lettres non distribuables</DefinedTermFr>)</Text></Definition></Subsection><Subsection lims:inforce-start-date="2013-06-19" lims:fid="59903" lims:id="59903"><MarginalNote lims:inforce-start-date="2013-06-19" lims:fid="59904" lims:id="59904">Presumption</MarginalNote><Label>(2)</Label><Text>For the purposes of this Act,</Text><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="59905" lims:id="59905"><Label>(a)</Label><Text>leaving mail at the place of residence or business of the addressee thereof,</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="59906" lims:id="59906"><Label>(b)</Label><Text>depositing mail in a post office lock box or rural mail box or any other receptacle or device provided for the receipt of mail of the addressee, or</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="59907" lims:id="59907"><Label>(c)</Label><Text>leaving mail with the addressee or his servant or agent or with any other person who may reasonably be considered to be authorized to receive mail by the addressee thereof,</Text></Paragraph><ContinuedSectionSubsection lims:inforce-start-date="2013-06-19" lims:fid="59908" the purposes of this Act, a thing is deemed to be in the course of post from the time it is posted to the time it is delivered to the addressee or returned to the sender and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="59930" lims:id="59930"><Label>(c)</Label><Text>to provide to or on behalf of departments and agencies of, and corporations owned, controlled or operated by, the Government of Canada or any provincial, regional or municipal government in Canada or to any person services that, in the opinion of the Corporation, are capable of being conveniently provided in the course of carrying out the other objects of the Corporation.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="59931" lims:id="59931"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="59932" lims:id="59932">Idem</MarginalNote><Label>(2)</Label><Text>While maintaining basic customary postal service, the Corporation, in carrying out its objects, shall have regard to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="59933" lims:id="59933"><Label>(a)</Label><Text>the desirability of improving and extending its products and services in the light of developments in the field of communications;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="59934" lims:id="59934"><Label>(b)</Label><Text>the need to conduct its operations on a self-sustaining financial basis while providing a standard of service that will meet the needs of the people of Canada and that is similar with respect to communities of the same size;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="59935" lims:id="59935"><Label>(c)</Label><Text>the need to conduct its operations in such manner as will best provide for the security of mail;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="59936" lims:id="59936"><Label>(d)</Label><Text>the desirability of utilizing the human resources of the Corporation in a manner that will both attain the objects of the Corporation and ensure the commitment and dedication of its employees to the attainment of those objects; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="59937" lims:id="59937"><Label>(e)</Label><Text>the need to maintain a corporate identity program approved by the Governor in Council that reflects the role of the Corporation as an institution of the Government of Canada.</Text></Paragraph></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="59939" lims:id="59939">1980-81-82-83, c. 54, s. 5</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2013-06-19" lims:fid="59940" lims:id="59940" level="2"><TitleText>Board of Directors</TitleText></Heading><Section lims:inforce-start-date="2006-12-12" lims:lastAmendedDate="2006-12-12" lims:fid="59941" lims:id="59941"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="59942" lims:id="59942">Board of Directors</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2006-12-12" lims:fid="59943" lims:id="59943"><Label>(1)</Label><Text>There shall be a Board of Directors of the Corporation consisting of the Chairperson, the President and nine other directors appointed as provided in this Act.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="59944" lims:id="59944"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="59945" lims:id="59945">Appointment of directors</MarginalNote><Label>(2)</Label><Text>Each director, other than the Chairperson and the President, shall be appointed by the Minister, with the approval of the Governor in Council, to hold office during pleasure for a term not exceeding four years that will ensure, as far as possible, the expiration in any one year of the terms of office of not more than one half of the directors.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="59946" lims:id="59946"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="59947" lims:id="59947">Vacancy</MarginalNote><Label>(3)</Label><Text>Where the office of a director becomes vacant during the term of the director appointed thereto, the Governor in Council may appoint a director for the remainder of the term.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="59948" lims:id="59948"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="59949" lims:id="59949">Re-appointment</MarginalNote><Label>(4)</Label><Text>A director may, on the expiration of his term of office, be re-appointed to the Board.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="59950" lims:id="59950"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="59951" lims:id="59951">Fees</MarginalNote><Label>(5)</Label><Text>A director, other than the Chairperson, the President and any director selected from among persons employed in the federal public administration, is entitled to receive for attendance at meetings of the Board and any committee thereof such fees as may be fixed by the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2006-12-12" lims:fid="59952" lims:id="59952"><MarginalNote lims:inforce-start-date="2006-12-12" lims:fid="59953" lims:id="59953">Expenses</MarginalNote><Label>(6)</Label><Text>A director is entitled to be paid by the Corporation reasonable travel and living expenses incurred by him while absent from his ordinary place of residence in the course of his duties as a director.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2006-12-12" lims:fid="59955" lims:id="59955">R.S., 1985, c. purposes of this Act and the regulations, what is a letter and what is non-mailable matter and undeliverable mail, other than undeliverable letters, and providing for the disposition of non-mailable matter, undeliverable mail and mail on which sufficient postage is not paid, including the disposition of anything found therein;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60063" lims:id="60063"><Label>(b)</Label><Text>classifying mailable matter, including the setting of standards for any class thereof;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60064" lims:id="60064"><Label>(c)</Label><Text>prescribing the conditions under which mailable matter may be transmitted by post;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60065" lims:id="60065"><Label>(d)</Label><Text>prescribing rates of postage and the terms and conditions and method of payment thereof;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60066" lims:id="60066"><Label>(e)</Label><Text>providing for the reduction of rates of postage on mailable matter prepared in the manner prescribed by the regulations;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60067" lims:id="60067"><Label>(f)</Label><Text>providing for the refund of postage;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60068" lims:id="60068"><Label>(g)</Label><Text>providing for the transmission by post, free of postage, of</Text><Subparagraph lims:inforce-start-date="2013-06-19" lims:fid="60069" lims:id="60069"><Label>(i)</Label><Text>letters, books, tapes, records and other similar material for the use of the blind, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2013-06-19" lims:fid="60070" lims:id="60070"><Label>(ii)</Label><Text>mailable matter relating solely to the business of the Corporation and addressed to or sent by a person engaged in that business;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60071" lims:id="60071"><Label>(g.1)</Label><Text>providing for a reduced rate of postage for library materials lent by a library to a borrower, including by means of an interlibrary loan;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60072" lims:id="60072"><Label>(h)</Label><Text>providing for the holding of mail by the Corporation at the request of the sender or addressee thereof or in any other circumstances specified in the regulations;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60073" lims:id="60073"><Label>(i)</Label><Text>providing for the insurance of mail and the payment of indemnity by the Corporation in case of loss of or damage to mail;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60074" lims:id="60074"><Label>(j)</Label><Text><Repealed>[Repealed before coming into force, 2008, c. 20, s. 3]</Repealed></Text></Paragraph><Paragraph or prohibiting the installation of machines for vending postage stamps, postal remittances or other products or services of the Corporation;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60077" lims:id="60077"><Label>(m)</Label><Text>regulating or prohibiting the manufacture, installation and use of postage meters;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60078" lims:id="60078"><Label>(n)</Label><Text>regulating or prohibiting the making or printing of postage stamps;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60079" lims:id="60079"><Label>(o)</Label><Text>governing the preparation, design and issue of postage stamps;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60080" lims:id="60080"><Label>(p)</Label><Text>providing for the closure of post offices, the termination of rural routes and the termination of letter carrier routes;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60081" lims:id="60081"><Label>(q)</Label><Text>carrying out any international postal agreement or international arrangement entered into pursuant to this Act;</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60082" lims:id="60082"><Label>(r)</Label><Text>dealing with any matter that any provision of this Act contemplates being the subject of regulations; and</Text></Paragraph><Paragraph lims:inforce-start-date="2013-06-19" lims:fid="60083" lims:id="60083"><Label>(s)</Label><Text>providing for the operation of any services or systems established pursuant to this Act.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2013-06-19" lims:fid="60084" lims:id="60084"><MarginalNote lims:inforce-start-date="2013-06-19" lims:fid="60085" lims:id="60085">Fair and reasonable</MarginalNote><Label>(2)</Label><Text>The rates of postage prescribed pursuant to subsection (1) shall be fair and reasonable and consistent so far as possible with providing a revenue, together with any revenue from other sources, sufficient to defray the costs incurred by the Corporation in the conduct of its operations under this interim or final prohibitory order on such terms and conditions as he sees fit, including the payment of any costs incurred in connection with the Board of Review.</Text></Subsection><Subsection order</MarginalNote><Label>(2)</Label><Text>If the Minister is satisfied that a person affected has not complied with any term or condition established pursuant to subsection (1) or 45(3), he may
