(<DefinedTermFr>ministère contractant</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2008-05-05" lims:fid="744717" lims:id="744717" generate-in-text="no"><Text><DefinedTermEn>working day</DefinedTermEn> means a day that is not a Saturday or a holiday. (<DefinedTermFr>jour ouvrable</DefinedTermFr>)</Text></Definition></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744718" lims:id="744718" level="1"><TitleText>Application</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744719" lims:id="744719"><Label>2</Label><Text>These Regulations apply</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744720" lims:id="744720"><Label>(a)</Label><Text>with respect to sections 7 to 14, to a contract for the acquisition of materiel or services that is awarded after the coming into force of these Regulations;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744721" lims:id="744721"><Label>(b)</Label><Text>with respect to sections 15 to 22, to a contract for the acquisition of materiel or services if the facts or grounds on which the complaint is based arise after the coming into force of these Regulations; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744722" lims:id="744722"><Label>(c)</Label><Text>with respect to section 23, to a contract for the acquisition of materiel or services if a dispute referred to in that section arises after the coming into force of these Regulations.</Text></Paragraph></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744723" lims:id="744723" level="1"><TitleText>Performance of the Duties and Functions of the Procurement Ombudsman</TitleText></Heading><Heading lims:inforce-start-date="2008-05-05" lims:fid="744724" lims:id="744724" level="2"><TitleText>Exception</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744725" lims:id="744725"><Label>3</Label><Text>The Procurement Ombudsman shall not perform the duties and functions referred to in subsection 22.1(3) of the Act in respect of the following departments:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744726" lims:id="744726"><Label>(a)</Label><Text>the Canadian Security Intelligence Service; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744727" lims:id="744727"><Label>(b)</Label><Text>the staff of the Senate and the House of Commons.</Text></Paragraph></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744728" lims:id="744728" level="2"><TitleText>Review of Departmental Practices for Acquiring Materiel and Services</TitleText></Heading><Heading lims:inforce-start-date="2008-05-05" lims:fid="744729" lims:id="744729" level="3"><TitleText>Review</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744730" lims:id="744730"><Label>4</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744731" lims:id="744731"><Label>(1)</Label><Text>The Procurement Ombudsman shall review the practices of a department for acquiring materiel and services under paragraph 22.1(3)(a) of the Act if there are reasonable grounds to do so and shall take into consideration the following factors:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744732" lims:id="744732"><Label>(a)</Label><Text>consistency with relevant Cabinet policies and procedures, with relevant multi-departmental policies and procedures and with policies and procedures related to a national security exemption;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744733" lims:id="744733"><Label>(b)</Label><Text>consistency with the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> and regulations made under it;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744734" lims:id="744734"><Label>(c)</Label><Text>the resources that would be required of that department to respond to the review;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744735" lims:id="744735"><Label>(d)</Label><Text>the observations or findings of any previous audits or assessments; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744736" lims:id="744736"><Label>(e)</Label><Text>the time that has elapsed since his or her previous review of the practices of that department.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744737" lims:id="744737"><Label>(2)</Label><Text>If the Procurement Ombudsman reviews the practices of a department under subsection (1), he or she may request that it provide any document or information necessary for the review.</Text></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744738" lims:id="744738" level="3"><TitleText>Recommendations</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744739" lims:id="744739"><Label>5</Label><Text>Before making any recommendations under paragraph 22.1(3)(a) of the Act, the Procurement Ombudsman shall</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744740" lims:id="744740"><Label>(a)</Label><Text>take into consideration the following factors:</Text><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744741" lims:id="744741"><Label>(i)</Label><Text>consistency with relevant cabinet policies and procedures, with relevant multi-departmental policies and procedures and with policies and procedures related to a national security exemption,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744742" lims:id="744742"><Label>(ii)</Label><Text>consistency with the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> and regulations made under it,</Text></Subparagraph><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744743" lims:id="744743"><Label>(iii)</Label><Text>the seriousness of any inconsistency with the principles of fairness, openness and transparency, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744744" lims:id="744744"><Label>(iv)</Label><Text>the potential impact that the recommendations could have on the government’s operations or resources; and</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744745" lims:id="744745"><Label>(b)</Label><Text>provide an opportunity to the department whose practices have been subject to the review to make comments on the proposed recommendations and the reasons for them within 30 working days after their receipt.</Text></Paragraph></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744746" lims:id="744746"><Label>6</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744747" lims:id="744747"><Label>(1)</Label><Text>If the Procurement Ombudsman makes recommendations under paragraph 22.1(3)(a) of the Act, he or she shall provide them, together with reasons, within one year after the commencement of a review and shall also provide a copy of them to the Minister without delay.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744748" lims:id="744748"><Label>(2)</Label><Text>If the Procurement Ombudsman cannot provide the recommendations within the period set out in subsection (1), before the expiry of that period, he or she shall provide interim recommendations, together with the reasons for the delay, and shall provide the final recommendations within 120 working days after the provision of the interim recommendations.</Text></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744749" lims:id="744749" level="2"><TitleText>Review of a Complaint Under Paragraph 22.1(3)(b) of the Act</TitleText></Heading><Heading lims:inforce-start-date="2008-05-05" lims:fid="744750" lims:id="744750" level="3"><TitleText>Filing of a Complaint Under Paragraph 22.1(3)(b) of the Act</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744751" lims:id="744751"><Label>7</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744752" lims:id="744752"><Label>(1)</Label><Text>A complaint under paragraph 22.1(3)(b) of the Act shall be filed in writing with the Procurement Ombudsman</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744753" lims:id="744753"><Label>(a)</Label><Text>within 30 working days after public notice of the award of contract to which the complaint relates; or</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744754" lims:id="744754"><Label>(b)</Label><Text>if there was no public notice, within 30 working days after the day on which the award of contract became known or reasonably should have become known to the complainant.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744755" lims:id="744755"><Label>(2)</Label><Text>If, for reasons beyond the control of the complainant, the complainant is not able to file a complaint with the Procurement Ombudsman within the period set out in paragraph (1)(a) or (b), as the case may be, the Procurement Ombudsman may, at the request of the complainant, extend those periods to a maximum of 90 working days.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744756" lims:id="744756"><Label>(3)</Label><Text>If a complainant has previously contacted the contracting department to object to the award of a contract within the period set out in paragraph (1)(a) or (b), as the case may be, a complaint under subsection (1) shall be filed in writing with the Procurement Ombudsman within 30 working days after day on which the contracting department denied the objection.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744757" lims:id="744757"><Label>(4)</Label><Text>The complaint is filed when the following information and documents are submitted to the Procurement Ombudsman:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744758" lims:id="744758"><Label>(a)</Label><Text>the name and address of the complainant;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744759" lims:id="744759"><Label>(b)</Label><Text>information identifying the contract to which the complaint relates, including the date of public notice of the award of contract or, if there was no public notice, the date of award of that contract, if known;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744760" lims:id="744760"><Label>(c)</Label><Text>the name of the contracting department and, if applicable, of the department for which the materiel or services are intended under the contract to which the complaint relates;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744761" lims:id="744761"><Label>(d)</Label><Text>information and documents establishing that the complainant meets the requirement set out in subsection 22.2(1) of the Act;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744762" lims:id="744762"><Label>(e)</Label><Text>a clear and detailed statement setting out the facts and grounds on which the complaint is based;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744763" lims:id="744763"><Label>(f)</Label><Text>a declaration by the complainant stating that the facts and grounds on which the complaint is based are not and have not been the subject of an inquiry before the Canadian International Trade Tribunal or a proceeding in a court of competent jurisdiction; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744764" lims:id="744764"><Label>(g)</Label><Text>upon request of the Procurement Ombudsman for the purpose of section 13,</Text><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744765" lims:id="744765"><Label>(i)</Label><Text>a calculation, together with supporting documents, of the net profit that the complainant would have realized, had it been awarded that contract, at the lower of the amount it bid, if any, and the amount at which the contract was awarded, without including the value of any options or any extensions of the contract, less the cost of submitting the bid, if any, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744766" lims:id="744766"><Label>(ii)</Label><Text>the complainant’s costs of submitting the bid and supporting documentation.</Text></Subparagraph></Paragraph></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744767" lims:id="744767" level="3"><TitleText>Review</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744768" lims:id="744768"><Label>8</Label><Text>The Procurement Ombudsman shall determine whether to review a complaint referred to in subsection 7(1) within 10 working days after the filing of the complaint, and shall, without delay, notify the complainant and the contracting department of his or her decision and, at that time, provide that department with a copy of the complaint.</Text></Section><Section lims:inforce-start-date="2017-12-14" lims:lastAmendedDate="2017-12-14" lims:fid="744769" lims:id="744769"><Label>9</Label><Subsection lims:inforce-start-date="2017-12-14" lims:fid="744770" lims:id="744770"><Label>(1)</Label><Text>The Procurement Ombudsman shall review a complaint referred to in subsection 7(1), if</Text><Paragraph lims:inforce-start-date="2017-12-14" lims:fid="744771" lims:id="744771"><Label>(a)</Label><Text>the contract, the award of which is the subject of the complaint, is not covered by any of the exceptions in the <DefinitionRef>Agreement</DefinitionRef>, as defined in section 2 of the <XRefExternal reference-type="act" link="C-17.15">Canadian Free Trade Agreement Implementation Act</XRefExternal>, including those made under articles 800, 801, 802, 809 and 1205.1 of that Agreement, and is one to which that Agreement would apply if its value, as determined under article 505 of that Agreement, were not less than the amount set out in article 504 of that Agreement;</Text></Paragraph><Paragraph lims:inforce-start-date="2017-12-14" lims:fid="744772" lims:id="744772"><Label>(b)</Label><Text>the requirements set out in subsection 22.2(1) of the Act and section 7 have been met;</Text></Paragraph><Paragraph lims:inforce-start-date="2017-12-14" lims:fid="744773" lims:id="744773"><Label>(c)</Label><Text>the facts and grounds on which the complaint is based are not and have not been the subject of an inquiry before the Canadian International Trade Tribunal or a proceeding in a court of competent jurisdiction; and</Text></Paragraph><Paragraph lims:inforce-start-date="2017-12-14" lims:fid="744774" lims:id="744774"><Label>(d)</Label><Text>there are reasonable grounds to believe that the contract was not awarded in accordance with regulations made under the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2017-12-14" lims:fid="744775" lims:id="744775"><Label>(2)</Label><Text>If the Procurement Ombudsman reviews the complaint under subsection (1), he or she may request that the complainant or the contracting department provide any document or information necessary for the review.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2017-12-14" lims:fid="744777" lims:id="744777">2017, c. 33, s. 226</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744778" lims:id="744778"><Label>10</Label><Text>The Procurement Ombudsman shall end the review and notify the complainant and the contracting department of that fact and the reasons for it, if</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744779" lims:id="744779"><Label>(a)</Label><Text>the complainant withdraws the complaint;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744780" lims:id="744780"><Label>(b)</Label><Text>one or more of the requirements set out in section 7 or 9 have not been met;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744781" lims:id="744781"><Label>(c)</Label><Text>the award of contract has been cancelled; or</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744782" lims:id="744782"><Label>(d)</Label><Text>the Procurement Ombudsman determines that the complaint is frivolous or vexatious.</Text></Paragraph></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744783" lims:id="744783" level="3"><TitleText>Procedures</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744784" lims:id="744784"><Label>11</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744785" lims:id="744785"><Label>(1)</Label><Text>Subject to subsection (2), the Procurement Ombudsman shall review complaints under a simple process and allow the contracting department 15 working days after the receipt of the notice referred to in section 8 to provide its comments on the complaint.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744786" lims:id="744786"><Label>(2)</Label><Text>The Procurement Ombudsman shall review a complaint under an expanded process on the request of the complainant or the contracting department, or if the Procurement Ombudsman determines that the circumstances warrant an expanded process, taking into consideration any relevant factors, including the following:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744787" lims:id="744787"><Label>(a)</Label><Text>the nature of the complaint;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744788" lims:id="744788"><Label>(b)</Label><Text>the value of the contract;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744789" lims:id="744789"><Label>(c)</Label><Text>the complexity of the bid requirements or the procurement process; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744790" lims:id="744790"><Label>(d)</Label><Text>the potential impact that the findings and any recommendations could have on the government’s operations or resources.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744791" lims:id="744791"><Label>(3)</Label><Text>The Procurement Ombudsman shall without delay notify the complainant and the contracting department that a complaint is to be reviewed under an expanded process.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744792" lims:id="744792"><Label>(4)</Label><Text>Under an expanded process, the Procurement Ombudsman shall</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744793" lims:id="744793"><Label>(a)</Label><Text>provide the contracting department with a period of at least 25 working days after the receipt of the notice referred to in subsection (3) to provide comments with respect to the complaint and may, on the request of that department, allow it to provide its comments after that period, having regard to the complexity of the bid requirements or the procurement process;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744794" lims:id="744794"><Label>(b)</Label><Text>provide the complainant with a copy of the department’s comments and an opportunity to respond within 10 working days after the receipt of the copy and may, on the request of the complainant, allow it to provide its response after that period, having regard to the complexity of the bid requirements or the procurement process; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744795" lims:id="744795"><Label>(c)</Label><Text>provide the department with a copy of the complainant’s response and an opportunity to respond within 10 working days after the receipt of the copy if the complainant raises new arguments or evidence in its response and may, on the request of the department, allow the department to provide its response after that period, having regard to the complexity of the bid requirements or the procurement process.</Text></Paragraph></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744796" lims:id="744796" level="3"><TitleText>Findings</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744797" lims:id="744797"><Label>12</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744798" lims:id="744798"><Label>(1)</Label><Text>For the purpose of his or her review, the Procurement Ombudsman shall take into consideration any relevant factors, including the following:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744799" lims:id="744799"><Label>(a)</Label><Text>whether the complainant would have had a reasonable prospect of being awarded the contract, but for the actions of the contracting department;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744800" lims:id="744800"><Label>(b)</Label><Text>the seriousness of any deficiency in complying with the regulations made under the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744801" lims:id="744801"><Label>(c)</Label><Text>the failure or refusal of the complainant to provide information about its goods and services at the request of the contracting department;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744802" lims:id="744802"><Label>(d)</Label><Text>the degree to which the complainant was prejudiced;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744803" lims:id="744803"><Label>(e)</Label><Text>the degree to which the fairness, openness or transparency of the procurement process was prejudiced; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744804" lims:id="744804"><Label>(f)</Label><Text>whether any of the parties acted in bad faith.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744805" lims:id="744805"><Label>(2)</Label><Text>The Procurement Ombudsman shall not substitute his or her opinion for the judgment of the persons involved in the acquisition process for the contract in relation to the assessment of any bid, unless there is insufficient written evidence to support that assessment or the assessment is unreasonable.</Text></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744806" lims:id="744806" level="3"><TitleText>Recommendations</TitleText></Heading><Heading lims:inforce-start-date="2008-05-05" lims:fid="744807" lims:id="744807" level="4"><TitleText>Compensation</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744808" lims:id="744808"><Label>13</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744809" lims:id="744809"><Label>(1)</Label><Text>Subject to subsection (2), the Procurement Ombudsman may recommend payment of</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744810" lims:id="744810"><Label>(a)</Label><Text>compensation in respect of the profit that the complainant would have realized if, but for the actions of the contracting department, it had been awarded the contract, which compensation may not exceed the lesser of</Text><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744811" lims:id="744811"><Label>(i)</Label><Text>the net profit that the complainant would have realized, had it been awarded the contract, at the lower of the amount that it bid, if any, and the amount at which the contract was awarded, without including the value of any options or any extensions of the contract, less the cost of submitting the bid, if any; and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2008-05-05" lims:fid="744812" lims:id="744812"><Label>(ii)</Label><Text>10% of the value of the contract awarded without including the value of any options or any extensions of the contract, less the cost of submitting the bid, if any; or</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744813" lims:id="744813"><Label>(b)</Label><Text>compensation equal to the costs of submitting the bid but that compensation may not exceed 10% of the value of the contract awarded, without including the value of any options or any extensions of the contract.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744814" lims:id="744814"><Label>(2)</Label><Text>If a competitive process was held, the complainant must have submitted a bid in respect of the contract to which the complaint relates, unless it was prevented from doing so because of the actions of the contracting department.</Text></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744815" lims:id="744815" level="4"><TitleText>Findings and Recommendations</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744816" lims:id="744816"><Label>14</Label><Text>The Procurement Ombudsman shall provide his or her findings or any recommendations under subsection 22.2(3) of the Act within 120 working days after the day on which the complaint is filed.</Text></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744817" lims:id="744817" level="2"><TitleText>Review of a Complaint Under Paragraph 22.1(3)(c) of the Act</TitleText></Heading><Heading lims:inforce-start-date="2008-05-05" lims:fid="744818" lims:id="744818" level="3"><TitleText>Filing of a Complaint Under Paragraph 22.1(3)(c) of the Act</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744819" lims:id="744819"><Label>15</Label><Text>A person may file a complaint under paragraph 22.1(3)(c) of the Act only if, in addition to meeting the requirement set out in subsection 22.2(1) of the Act, the person has been awarded the contract to which the complaint relates.</Text></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744820" lims:id="744820"><Label>16</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744821" lims:id="744821"><Label>(1)</Label><Text>A complaint under paragraph 22.1(3)(c) of the Act shall be filed in writing with the Procurement Ombudsman within 30 working days after the day on which the complainant became aware, or reasonably should have become aware, of the grounds on which the complaint is based.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744822" lims:id="744822"><Label>(2)</Label><Text>If, for reasons beyond the control of the complainant, the complainant is not able to file a complaint with the Procurement Ombudsman within the period set out in subsection (1), the Procurement Ombudsman may, at the request of the complainant, extend that period to a maximum of 90 working days.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744823" lims:id="744823"><Label>(3)</Label><Text>If a complainant has previously contacted the contracting department to object to the administration of a contract within the period set out in subsection (1), a complaint under that subsection shall be filed in writing with the Procurement Ombudsman within 30 working days after day on which the contracting department denied the objection.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744824" lims:id="744824"><Label>(4)</Label><Text>The complaint is filed when the following information and documents are submitted to the Procurement Ombudsman:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744825" lims:id="744825"><Label>(a)</Label><Text>the name and address of the complainant;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744826" lims:id="744826"><Label>(b)</Label><Text>information identifying the contract to which the complaint relates and, on the request of the Procurement Ombudsman, a copy of that contract;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744827" lims:id="744827"><Label>(c)</Label><Text>the name of the contracting department and, if applicable, the department for which the materiel or services are intended under the contract to which the complaint relates;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744828" lims:id="744828"><Label>(d)</Label><Text>information and documents establishing that the complainant meets the requirements set out in subsection 22.2(1) of the Act and in section 15; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744829" lims:id="744829"><Label>(e)</Label><Text>a statement of the complaint, setting out the facts and grounds on which the complaint is based.</Text></Paragraph></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744830" lims:id="744830" level="3"><TitleText>Review</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744831" lims:id="744831"><Label>17</Label><Text>The Procurement Ombudsman shall determine whether to review a complaint referred to in subsection 16(1) within 10 working days after the filing of the complaint, and shall, without delay, notify the complainant and the contracting department of his or her decision, and provide that department with a copy of the complaint.</Text></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744832" lims:id="744832"><Label>18</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744833" lims:id="744833"><Label>(1)</Label><Text>The Procurement Ombudsman shall review a complaint referred to in subsection 16(1), if the requirements set out in subsection 22.2(1) of the Act and in sections 15 and 16 have been met and the interpretation and application of the terms and conditions or the scope of the work of the contract are not in dispute between the parties.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744834" lims:id="744834"><Label>(2)</Label><Text>If the Procurement Ombudsman reviews the complaint under subsection (1), he or she may request that the complainant or the contracting department provide any document or information necessary for the review.</Text></Subsection></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744835" lims:id="744835"><Label>19</Label><Text>The Procurement Ombudsman shall end the review and notify the complainant and the contracting department of that fact and the reasons for it, if</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744836" lims:id="744836"><Label>(a)</Label><Text>the complainant withdraws the complaint;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744837" lims:id="744837"><Label>(b)</Label><Text>one or more of the requirements set out in subsection 22.2(1) of the Act, section 15 or 16 have not been met; or</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744838" lims:id="744838"><Label>(c)</Label><Text>the Procurement Ombudsman determines that the complaint is frivolous or vexatious.</Text></Paragraph></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744839" lims:id="744839" level="3"><TitleText>Findings and Recommendations</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744840" lims:id="744840"><Label>20</Label><Text>For the purpose of the review, the Procurement Ombudsman shall take into consideration any relevant factors, including the following:</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744841" lims:id="744841"><Label>(a)</Label><Text>whether the administration of the relevant contract was conducted in a reasonable manner in the circumstances; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744842" lims:id="744842"><Label>(b)</Label><Text>whether any of the parties acted in bad faith.</Text></Paragraph></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744843" lims:id="744843"><Label>21</Label><Text>The Procurement Ombudsman may not make recommendations</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744844" lims:id="744844"><Label>(a)</Label><Text>altering the terms and conditions of a contract; or</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744845" lims:id="744845"><Label>(b)</Label><Text>providing a remedy other than as specified in the contract.</Text></Paragraph></Section><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744846" lims:id="744846"><Label>22</Label><Text>The Procurement Ombudsman shall provide, in accordance with subsection 22.2(3) of the Act, his or her findings and any recommendations within 120 working days after the day on which the complaint is filed.</Text></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744847" lims:id="744847" level="2"><TitleText>Alternative Dispute Resolution Process</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744848" lims:id="744848"><Label>23</Label><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744849" lims:id="744849"><Label>(1)</Label><Text>If a party to a contract requests an alternative dispute resolution process under paragraph 22.1(3)(d) of the Act with respect to a dispute on the interpretation or application of a contract’s terms and conditions, the Procurement Ombudsman shall ask the other parties if they agree to participate in such a process and to bear the costs of that process, within 10 working days after the request, and permit those parties 10 working days to respond to his or her request.</Text></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744850" lims:id="744850"><Label>(2)</Label><Text>The Procurement Ombudsman shall receive a request that is in writing and includes</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744851" lims:id="744851"><Label>(a)</Label><Text>the names of the parties to the contract;</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744852" lims:id="744852"><Label>(b)</Label><Text>a copy of the contract; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744853" lims:id="744853"><Label>(c)</Label><Text>a brief summary of the facts in issue.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2008-05-05" lims:fid="744854" lims:id="744854"><Label>(3)</Label><Text>Within 10 working days after receiving the last of the other parties’ responses,</Text><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744855" lims:id="744855"><Label>(a)</Label><Text>if all parties agree, the Procurement Ombudsman shall submit to the parties a proposal for an alternative dispute resolution process; and</Text></Paragraph><Paragraph lims:inforce-start-date="2008-05-05" lims:fid="744856" lims:id="744856"><Label>(b)</Label><Text>if the parties do not agree, the Procurement Ombudsman shall notify the party who made the request that the request cannot be granted.</Text></Paragraph></Subsection></Section><Heading lims:inforce-start-date="2008-05-05" lims:fid="744857" lims:id="744857" level="1"><TitleText>Coming into Force</TitleText></Heading><Section lims:inforce-start-date="2008-05-05" lims:lastAmendedDate="2008-05-05" lims:fid="744858" lims:id="744858"><Label><FootnoteRef idref="fn_Ind79CD_hq_4507">*</FootnoteRef>24</Label><Text>These Regulations come into force on the day on which section 307 of the <XRefExternal reference-type="act" link="F-5.5">Federal Accountability Act</XRefExternal>, chapter 9 of the Statutes of Canada, 2006, comes into force, but if it is after that day, they come into force on the day on which they are registered.</Text><Footnote id="fn_Ind79CD_hq_4507" placement="section" status="editorial"><Label>*</Label><Text>[Note: Regulations in force May 5, 2008, <Emphasis style="italic">see</Emphasis> SI/2008-52.]</Text></Footnote></Section></Body></Regulation>
