Order Authorizing Atomic Energy of Canada Limited to Incorporate a Corporation and to Hold and Acquire Shares Thereof and to Sell or Otherwise Dispose of the Property of the Medical Products Division to that Corporation

Whereas the Governor in Council, pursuant to subsection 101(6)Footnote * of the Financial Administration Act, is satisfied that Atomic Energy of Canada Limited, a corporation continued under section 181Footnote **, of the Canada Business Corporations ActFootnote ***, is empowered to incorporate a corporation and to hold and acquire the shares thereof;

Therefore, Her Excellency the Governor General in Council, on the recommendation of the Minister of Energy, Mines and Resources and the Treasury Board, pursuant to paragraphs 101(1)(a)Footnote * and (b)Footnote * and 108(2)(b)Footnote * of the Financial Administration Act, is pleased hereby to make the annexed Order Authorizing Atomic Energy of Canada Limited to incorporate a corporation and to hold and acquire the shares thereof and to sell or otherwise dispose of the property of the Medical Products Division to that corporation.

Short Title

 This Order may be cited as the Atomic Energy of Canada Limited Authorization Order, 1988.

Authorized Transaction

 Atomic Energy of Canada Limited is hereby authorized

  • (a) to procure the incorporation of a corporation to be known as “Theratronics International Limited” all the shares of which, on incorporation, will be held by, on behalf of or in trust for Atomic Energy of Canada Limited;

  • (b) to acquire shares of that corporation that, on acquisition, will be held by, on behalf of or in trust for Atomic Energy of Canada Limited; and

  • (c) to sell or otherwise dispose of the property of the Medical Products Division, a division of Atomic Energy of Canada Limited, to that corporation.
